1.1 Binding Agreement. These Terms constitute a legally binding agreement between you and CMS Inc. (hereafter, CMS,” “we,” “us,” or “our”), including our subsidiaries AccurateGaming (AG), BluntGaming (BG), and IceWaveGaming (IceWave) (collectively, the “Company”).
1.2 Scope. These Terms apply to your use of:
1.3 Modifications. We reserve the right to modify, revise, or update these Terms at any time. We will post the updated Terms on our website and revise the “Last updated” date. Your continued use of the Services after any such changes constitutes your acceptance of the revised Terms.
Whenever capitalized herein, the following terms shall have the meanings set forth below:
“Account” means a registered user account created through our registration process.
“Content” means any text, images, video, audio, game data, user-submitted graphics, team rosters, match reports, forums posts, chat messages, or other materials you upload, post, or otherwise make available via the Services.
“Platform” means the Company’s websites, mobile apps, APIs, and any affiliated pages or subdomains.
“User-Generated Content” or “UGC” means any Content created or submitted by Users (e.g., tournament results, team names, user profiles, graphics).
“Event” or “Tournament” means any organized competition, league, or ladder run through the Company’s platform.
“Subsidiary” means any entity wholly owned or controlled by CMS, including AG, BG, and IceWave, and any additional brands or sub-brands we may establish in the future.
3.1 Age Requirement. You must be at least 13 years old to use our Services. Certain features (e.g., contractual obligations, tournament prizes) may require you to be 18 or older. By registering, you represent that you meet the minimum age requirement.
3.2 Location Restrictions. You agree not to use the Services if (1) such use is prohibited by the laws of the jurisdiction from which you access the Services, or (2) you are otherwise barred from receiving services under applicable laws.
3.3 Account Creation. To access certain features (e.g., creating teams, entering tournaments, submitting UGC), you must register for an Account and provide accurate, current, and complete information. You are responsible for maintaining the security of your password and Account and for all activities under your Account. Notify us immediately of any unauthorized use or security breach.
3.4 Account Suspension/Termination. We reserve the right, at our sole discretion, to suspend or terminate your Account without prior notice if we suspect any breach of these Terms, fraudulent behavior, or illegal activity.
4.1 Compliance. You agree to comply with all applicable laws, rules, and regulations when using our Services.
4.2 Code of Conduct. While using the Services, you must not, directly or indirectly:
4.3 Tournament Behavior. By entering any Event, you agree to abide by specific tournament rules, which may include additional eligibility criteria, match reporting protocols, dispute procedures, and prize distribution guidelines (the “Tournament Rules”). Violations of Tournament Rules may result in disqualification, forfeiture of prizes, or other penalties.
4.4 Dispute Resolution. You must raise any tournament or platform dispute via the official dispute process. Decisions by tournament administrators or Company representatives are final and binding.
5.1 Your Content. You retain ownership of any intellectual property rights that you hold in the Content you submit to the Services.
5.2 License to Company. By submitting UGC (including but not limited to videos, screenshots, team logos, photos, text, and match replays), you grant the Company a worldwide, non-exclusive, royalty-free, transferable, sublicensable, irrevocable license to use, reproduce, modify, distribute, display, adapt, and create derivative works of your UGC in connection with the Services and the Company’s (and its Subsidiaries’) promotional, marketing, and commercial purposes, across any media formats and channels now known or later developed, without further notice or compensation to you.
5.3 License to Other Users. Some UGC (e.g., public chat messages, forum posts, tournament replays) may be viewable by other Users. You grant other Users a limited license to view, share, and comment on UGC you post publicly, consistent with the purpose of the platform.
6.1 Company Trademarks & Copyright. All trademarks, service marks, trade names, logos, domain names, and other distinctive brand features of CMS (e.g., the CMS name and logos), AccurateGaming, BluntGaming, IceWaveGaming, and all audiovisual elements, software, and code behind the Services, are owned by the Company or its licensors. Except as expressly stated, nothing in these Terms grants you a license to any of the Company’s trademarks, service marks, or copyrighted materials.
6.2 Prohibited Use. You may not copy, reproduce, republish, upload, post, transmit, or distribute any portion of the Company’s copyrighted materials—text, graphics, logos, images, audio clips, video clips, digital downloads, data compilations—except as expressly authorized in writing by the Company.
7.1 Paid Services. Certain features—such as premium tournament entry fees, merchandising, or coaching services—may be offered for a fee. All fees are stated in USD or CAD and are non-refundable unless otherwise specified.
7.2 Payment Authorization. By providing payment information, you warrant that you are authorized to use the payment method (credit card, debit card, PayPal, etc.). You authorize us (or our third-party payment processors) to charge the applicable fees.
7.3 Taxes. You are responsible for any applicable sales or value-added taxes associated with your purchases.
8.1 Third-Party Content. The Services may contain links to third-party websites or resources. The Company is not responsible for the availability, accuracy, or content of such external sites or resources.
8.2 Disclaimer of Endorsement. Links to third-party sites do not constitute an endorsement by the Company of those sites or their content.
8.3 Third-Party Services (e.g., Streaming, Discord). If we integrate with third-party platforms (such as Twitch, YouTube, Discord), your use of those services is subject to their own terms and privacy policies. The Company is not liable for any issues arising from your interactions with third-party platforms.
9.1 “As-Is” Disclaimer. TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES, CONTENT, AND ANY MATERIALS PROVIDED BY THE COMPANY ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. THE COMPANY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR TITLE.
9.2 No Guarantee of Uptime or Accuracy. While we strive to ensure the Services are available 24/7, we do not guarantee uninterrupted access. The Company does not warrant that any data, including tournaments scores, stats, or UGC, will be accurate, error-free, or up to date.
9.3 Limitation of Liability.
You agree to defend, indemnify, and hold harmless the Company, its officers, directors, employees, agents, and affiliates from and against any claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with:
11.1 Termination by Company. The Company may suspend or terminate your Account and access to the Services, without notice, for any reason, including but not limited to:
11.2 Effect of Termination. If your Account is terminated, you lose access to your Account, all UGC, tournament entries, and associated features. The Company reserves the right to delete or retain any UGC at its discretion.
11.3 Survival. Sections dealing with intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution survive any termination of the Agreement.
Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and share your personal information. By using the Services, you agree to our collection and use of your information as described in the Privacy Policy. If you do not agree, please do not use the Services.
13.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law provisions.
13.2 Informal Resolution. Before initiating any formal dispute, you agree to attempt good-faith negotiation of any claim or controversy arising out of or relating to these Terms.
13.3 Venue & Jurisdiction. Any dispute arising under or relating to these Terms shall be brought exclusively in the courts of competent jurisdiction sitting in Toronto, Ontario, Canada. You consent to personal jurisdiction and venue in those courts.
We may revise and update these Terms from time to time in our sole discretion. When we do, we will post the revised Terms on our website with a new “Last updated” date. If the changes are material, we will provide notice (e.g., email to the registered address or a prominent notice in the Services). Your continued use of the Services after those changes become effective means you accept the updated Terms.
15.1 Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be construed to reflect the parties’ intention, and the remaining provisions will remain in full force and effect.
15.2 Waiver. No waiver by the Company of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition, or a waiver of any other term or condition.
15.3 Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or delegate our rights and obligations freely.
15.4 Entire Agreement. These Terms, together with any policies or rules posted on our site (including the Privacy Policy and Tournament Rules), constitute the entire agreement between you and the Company regarding your use of the Services and supersede all prior or contemporaneous communications and proposals.
